Wayo Host Venue Policies

By hosting on Wayo, you agree to comply with the Wayo Host Venue Policies.

Policies for Host Venues (as in effect from time to time)

These Policies apply to all Host Venues listed on Wayo’s platform. For purposes of Host Venues, these Policies set out specific obligations and revenue-sharing terms. They form part of your agreement with Wayo and are incorporated into the Terms of Service.

Protective Disclaimer: These Policies are intended to set expectations for Host Venues. Wayo does not own, operate, manage, or control Host Venues and makes no guarantee regarding compliance by any Host Venue.

Host Venues are responsible for understanding and complying with these Policies at all times. Wayo may update these Policies from time to time. Continued use of the platform as a Host Venue after an update takes effect constitutes acceptance of the revised Policies. Failure to comply with these Policies may result in suspension or removal of the Host Venue from the platform.

1. Reservation Services and Payment Flows

1.1 General Principles

  • Not all bookings include food or beverage. Where food or beverage is included, it is offered on a prix fixe basis.
  • 1.2 On-Demand Bookings

  • For single-user, on-demand bookings, Customers pay through Wayo’s Stripe account.
  • Stripe automatically calculates applicable taxes.
  • Fee split: 15% of the total booking fee is retained by Wayo, the remainder is remitted to the Host Venue, less applicable taxes.
  • POS option is not currently available for on-demand bookings.
  • 1.3 Community Bookings (Group Events)

  • Group bookings (up to 25 participants) are coordinated as curated experiences more fully described below and informally referred to as “community days.”
  • Two payment options exist for the Host Venue:
  • 1. POS/Corporate Card Option:

  • Customer pays through Wayo’s Stripe account; Stripe sends 100% to Wayo.
  • Wayo staff will attend to process the food & beverage portion, including tax and gratuity, based on information received from the Host Venue, through the Wayo corporate credit card, not to exceed 60% of the booking total. (Tax Handling described below.)
  • If Customers order items outside of the prix fixe offering, they pay the Venue directly for those additional items.
  • 2. Non-POS Option:

  • Customer pays through Wayo’s Stripe account.
  • Fee split: 40% to Wayo, 60% to the Host Venue.
  • 1.4 Discounts and Promotions

  • Customer discounts (referrals, vouchers) are deducted first from Wayo’s portion of the booking.
  • If a Host Venue agrees, the discount may also reduce the Host Venue portion, but only by prior agreement.
  • 2. Tax Handling

  • Stripe calculates, collects, and reports all applicable sales and occupancy taxes (subject to the “community bookings” bullet point below).
  • Wayo does not manually calculate taxes; Host Venues receive payouts net of taxes (subject to the operational provisions of the following bullet point).
  • Community bookings. For community bookings using the POS/corporate card option, the Host Venue's POS system records the sale, and taxes are calculated in the usual Host Venue accounting, but collected and remitted to Host Venue in accordance with the following operational steps: (a) under the community bookings POS option, Wayo collects 100% of the Customer booking payment through Stripe, as the Host Venue’s limited payment collection agent (in respect of food and beverage); (b) Wayo then pays the Host Venue directly by the Host Venue charging Wayo’s corporate card through the Host Venue’s POS system for the agreed prix fixe food and beverage, including any gratuity as calculated by the Host Venue (all not to exceed 60% of the booking total); and (c) the full amount due the Host Venue (inclusive of any applicable taxes on food and beverages) is deemed received by the Host Venue when received by Wayo. Where Wayo uses its corporate payment method to settle the Host Venue’s POS charges for included food and beverages, such settlement is made on behalf of Customers and does not alter the Host Venue’s responsibility for determining, collecting, reporting, and remitting all applicable taxes. Wayo shall have no liability for a Host Venue’s failure to do so. (As noted in Section 1.3 Community Bookings (Group Events) above, the Host Venue’s portion for food, beverages, and gratuity may not exceed 60% of the total Customer charge; Wayo retains 40%+ as its fee.)
  • 3. Payouts and Reporting

  • Payouts occur after Stripe processes and settles payments, consistent with Stripe policies.
  • Venues designate a deposit account for receiving payouts.
  • Wayo is not responsible for payout delays; Host Venues are responsible for maintaining transaction records.
  • Wayo may withhold funds in accordance with chargebacks, disputes, or suspicious activity.
  • 4. Chargebacks, Disputes, and Withholding

  • Chargebacks initiated by Customers or payment networks are deducted from funds payable to the Host Venue.
  • Wayo may assess processing fees for chargebacks.
  • Funds may be withheld pending dispute resolution.
  • For community bookings with POS/corporate card options, chargeback responsibility follows the Host Venue’s POS processing.
  • 5. Fee Splits & Revenue Sharing (Summary)

    6. Operational Notes

  • Wayo staff or Wayo selected community ambassador may attend community days to facilitate payment processing.
  • Any adjustments to splits or discounts require prior agreement with Wayo.
  • Participating Host Venues remain responsible for all legal, health, and safety obligations.
  • Wayo does not operate, manage, or control the Host Venue; the Host Venue remains solely responsible for its operations.
  • 7. Minimum Standards for Host Venues

    To help ensure a consistent and reliable experience for Customers, Host Venues must meet the following minimum standards in addition to the Terms of Service:

  • Host Venue must offer Wayo Customers access to restrooms and designated seating, including a table of some kind. If the Host Venue provides Wi-Fi, it must make such access reasonably available during bookings at a speed suitable for typical email, video conferencing, and other standard work purposes, with commercially reasonable efforts to keep service generally uninterrupted except for disruptions beyond the Host Venue’s control. If the Host Venue provides power outlets, it must make functioning outlets or extension cords available within approximately three (3) feet of the workspace offered. Host Venues that are restaurants or other dining establishments must remain primarily a restaurant or other dining establishment.
  • Host Venue must maintain the space in a clean, sanitary, and safe condition, including promptly addressing any health or safety hazards and keeping the space free from excessive noise, clutter, or obstructions that would interfere with a professional working environment.
  • Host Venue must ensure that the space, furnishings, and amenities offered through Wayo are in good repair and working order. This includes timely maintenance of restrooms, Wi-Fi service (if offered), power outlets/extension cords (if offered), and any other amenities represented to Wayo or to Customers.
  • Host Venue must allow Wayo to use its name, logo, and to create photos and video walkthroughs for promotional materials, provided no individuals are identifiable without consent.
  • 8. Community Experience

    Wayo may offer Customers the option to participate in curated group experiences, connecting like-minded individuals at a Host Venue at the same time to foster a sense of community. These experiences are designed to enhance the Customer’s visit.

    Host Venues understand and agree that:

  • Wayo facilitates connections and scheduling but does not operate, manage, or control the Host Venue or its premises. Wayo does not supervise, screen, or guarantee the conduct, identity, or compatibility of Customers.
  • Customers are responsible for their own participation in group experiences, and Host Venues are responsible for ensuring their space is safe, welcoming, and compliant with applicable laws, permits, and certificates.
  • Any questions or concerns about the space, services, or conditions should be directed to the Host Venue. Wayo is not responsible for resolving disputes between Customers and Host Venues, and participation in curated experiences is voluntary.
  • 9. Enforcement

    Failure to comply with these Policies or Wayo’s Terms of Service may result in corrective actions, including reduced visibility in search results, suspension of bookings, or removal of the Host Venue from Wayo’s platform. Wayo reserves the right to determine appropriate enforcement in its sole discretion.
